Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Venari, a product operated by The Viral Marketer, LLC (“The Viral Marketer,” “Venari,” “we,” “us,” or “our”).
By affirmatively accepting these Terms, creating an account, starting a trial, or purchasing a subscription, you agree to these Terms and acknowledge our Privacy Policy.
If you do not agree, do not enroll in or use Venari.

Venari is the product name.
2. About Venari
Venari is resale acquisition-intelligence software.
Depending on your plan and available features, it may help you:
- analyze marketplace listings;
- identify products/configurations;
- review market evidence;
- estimate resale economics;
- calculate acquisition ceilings;
- determine which opportunities deserve attention;
- configure Saved Searches;
- receive Monitoring opportunities;
- inspect products;
- track Inventory;
- prepare resale material;
- record purchases and sales; and
- learn from historical outcomes.
Venari is decision-support software.
It is not a marketplace, broker, dealer, seller, buyer, escrow provider, payment intermediary, certified appraisal service, accounting service, investment adviser, financial adviser, legal adviser, or tax adviser.
3. Service Territory
Initial account, trial, and paid enrollment is offered only to customers in:
- the United States; and
- Canada, excluding Quebec.
Our public website may remain accessible from other jurisdictions.
You may not misrepresent your location to circumvent an enrollment restriction.
We may expand service availability after reviewing applicable legal and operational requirements.
4. Eligibility
You must be at least 18 years old and have legal capacity to agree to these Terms.
You also represent that:
- your account information is accurate;
- you are not prohibited by law from using the service; and
- you independently meet the eligibility rules of any third-party marketplace you use.
Venari does not determine or guarantee eligibility for Facebook Marketplace or another marketplace.
5. Account Security
You are responsible for maintaining credential confidentiality, using your account only as permitted, providing accurate account information, and promptly notifying us of suspected unauthorized access.
You may not share credentials in a way that circumvents plan or usage limits.
6. Trial
Eligible new customers receive a:
14-day trial.
A valid payment method is required to start the standard trial.
Before you start the trial, we will disclose the applicable:
- trial length;
- subscription price;
- taxes/charges then determinable;
- first paid charge timing;
- renewal frequency;
- cancellation method; and
- material plan terms.
Unless you cancel before the trial ends, the trial automatically converts to the paid subscription and your payment method will be charged.
7. Subscription
Current standard plan:
Venari Pro — USD $99 per month, plus applicable taxes.
The actual amount and applicable tax will be shown before you commit to the transaction.
Subscriptions renew monthly until canceled.
By subscribing, you authorize our payment provider to charge the disclosed recurring subscription amount, applicable taxes, and another amount you separately and expressly authorize.
8. Electronic Contract Confirmation
After you start a trial or paid subscription, we will provide an electronic confirmation through the email address associated with your account.
That confirmation should allow you to retain the material subscription agreement information for future reference.
Our records may also preserve:
- Terms version;
- Privacy Policy version;
- plan;
- price;
- trial duration;
- renewal frequency;
- acceptance timestamp; and
- applicable consent state.
9. Payment Processing
Payments are currently processed by Stripe.
The Venari application does not need to store your complete payment-card number.
You are responsible for maintaining accurate payment information with the payment provider.
Taxes are additional where applicable.
10. Cancellation
You may cancel online at any time through the available account/billing controls.
Cancellation:
- stops the next renewal;
- does not normally terminate the period you already paid for; and
- does not automatically delete your account.
There is no cancellation fee.
To prevent the first paid charge after your trial, cancel before your trial expires.
11. First-Month Opportunity Guarantee
Venari may provide a one-time First-Month Opportunity Guarantee.
You may request a refund of your first monthly subscription charge if:
- you request it within 30 days after your first paid charge;
- you created at least one valid Saved Search;
- at least one qualifying Saved Search remained ACTIVE for at least seven days;
- the Saved Search was reasonably configured for supported inventory;
- you did not intentionally prevent the search from operating; and
- Venari did not surface at least one valid qualifying opportunity during the applicable guarantee period.
A qualifying opportunity means a genuine opportunity classified as CONTACT or INSPECT that satisfied the applicable Saved Search hard constraints when evaluated.
A database record alone does not necessarily defeat a refund claim.
An opportunity will not count against the guarantee if we determine that it was materially invalid because of a Venari error such as:
- materially incorrect identity;
- materially incorrect location;
- materially incorrect price;
- a hard-constraint mismatch;
- invalid/unavailable source evidence existing at the relevant time; or
- another material system error that meant the customer did not actually receive the promised class of opportunity.
We will review relevant Saved Search, opportunity, source, and system records reasonably and in good faith when deciding the claim.
If we deny a guarantee claim, you may ask billing@theviralmarketer.com for a review.
The guarantee may be used only once per person, customer, account, or payment identity.
The guarantee does not promise seller response, item availability, purchase, negotiation success, inspection success, resale, profit, resale price, sale timing, or income.
Except for this guarantee, refunds we expressly approve, and refunds required by applicable law, subscription charges are generally non-refundable.
12. Price Changes
We may change subscription pricing prospectively.
Existing customers will receive at least 30 days' advance notice before a new price applies to a future renewal.
A price change does not retroactively change an already-paid period.
13. Usage and Plan Limits
Plans may include limits for Listing Analyses, Deep Analyses, Inventory, ACTIVE Saved Searches, provider-backed operations, and other features.
You may not circumvent limits through duplicate accounts, identifier manipulation, credential sharing, metering interference, abusive API use, or another workaround.
14. Marketplace Analysis
For authenticated browser-assisted Facebook analysis:
you navigate Facebook and explicitly present the marketplace evidence you want Venari to analyze.
The browser-assisted workflow does not require your Facebook password or authentication cookies.
You remain responsible for your use of third-party marketplaces.
15. Saved Search Monitoring
Monitoring is a distinct feature from browser-assisted analysis.
When you create a Saved Search, Venari may use an approved external source/data provider to obtain relevant marketplace observations without controlling your authenticated Facebook account.
Monitoring may periodically query supported source systems, identify new or changed listings, deduplicate observations, match search criteria, analyze promising inventory, calculate acquisition economics, and surface opportunities.
Monitoring does not guarantee that every marketplace listing will be discovered.
16. Notifications
Notifications may be provided through Venari, email, browser notification, or another supported channel.
Notifications can be delayed or prevented by provider latency, marketplace indexing, email systems, browser permissions, spam filtering, networks, or service outages.
Notifications are a convenience, not guaranteed real-time delivery.
17. AI-Assisted Features
AI may assist with product identification, configuration, condition observations, market research, evidence interpretation, risk identification, inspection guidance, explanations, and listing-copy generation.
AI can make mistakes.
You must verify important facts before spending money.
Deterministic financial calculations designated as authoritative are not delegated solely to free-form generative AI.
18. Valuation and Acquisition Estimates
Venari may display Market Ask, Expected Sale, Quick Sale, Patient Sale Estimate, Buy Under, Opening Offer, expected profit, ROI, estimated hold time, or similar metrics.
They are estimates based on available evidence.
Market evidence may be incomplete, stale, inaccurate, geographically different, differently conditioned/configured, asking-price evidence rather than transaction evidence, or otherwise imperfect.
A listing marked “sold” does not necessarily establish the final sale price.
Venari is not a certified appraisal service.
19. No Profit or Income Guarantee
Venari is intended to improve acquisition decision quality.
Except for the limited subscription refund guarantee described above, we do not guarantee a profitable transaction, income, investment return, resale, a particular resale value, buyer demand, seller response, seller honesty, authenticity, legality, safety, condition, negotiation success, or sale timeline.
20. Inspection and Purchase Responsibility
You decide whether to buy an item.
Before purchase, independently verify matters relevant to the item, potentially including exact model, configuration, serial/identifying information, physical condition, functionality, missing components, authenticity, liens/locks, stolen-property concerns, recalls, repair history, safety, ownership, and legality.
Venari may provide guidance but does not physically inspect an item for you.
21. Transactions With Sellers and Buyers
Venari is not a party to transactions between you and a seller or buyer.
We do not own third-party items, control sellers/buyers, receive the item purchase price on behalf of a seller, guarantee title/authenticity, guarantee pickup/delivery, guarantee a buyer, or resolve marketplace disputes.
You remain responsible for your transactions.
22. Third-Party Marketplaces
Third-party marketplaces have their own terms, privacy practices, systems, and policies.
They may change listings, APIs, interfaces, functionality, availability, policies, or access methods.
Venari does not control those changes and is independent from third-party marketplaces unless expressly stated otherwise.
23. Value My Stuff
Value My Stuff allows you to submit information about an item for identification, valuation, and resale assistance.
You are responsible for providing information you reasonably believe is accurate.
Do not intentionally upload unnecessary private or sensitive information in product photographs.
Under the current architecture, requesting a VMS analysis does not itself permanently save raw photographs to Inventory.
24. Inventory
Inventory may record product, acquisition basis, acquisition price, condition, listing price, sale price, costs, sale channel, dates, hold time, realized profit, and other outcome information.
You are responsible for manually supplied facts.
Venari is not professional accounting, bookkeeping, tax, or financial-reporting software.
25. User Content
“User Content” means text, photographs, descriptions, item details, feedback, and other material you submit.
As between you and us, you retain ownership of your original User Content to the extent you own it.
You grant The Viral Marketer, LLC a limited, non-exclusive, worldwide license to receive, host, copy, process, analyze, transform, transmit to approved providers where necessary, display back to you, store where reasonably required, and create the outputs you requested to the extent reasonably necessary to:
- provide Venari;
- secure the service;
- troubleshoot;
- prevent abuse;
- provide Support; and
- comply with legal obligations.
This license does not give us permission merely because you submitted content to use identifiable private User Content for unrelated foundation-model training.
For general product/market improvement beyond providing and supporting your account, we may use appropriately de-identified or aggregate information as described in our Privacy Policy, or another use for which you separately provide the required permission.
You represent that you have the rights reasonably necessary to submit the User Content for the intended purpose.
26. De-Identified and Aggregate Information
We may create appropriately de-identified or aggregate information from product observations, acquisition prices, sale prices, general markets, sale channels, hold time, forecast errors, and related market outcomes.
Once information is irreversibly de-identified so it cannot reasonably be linked to you or your account, we may retain and use it for Venari Market Intelligence.
We do not intentionally attempt to reidentify information we retain as de-identified.
27. Feedback
If you voluntarily give us product suggestions or feedback, we may use that feedback to improve Venari without compensation or obligation to you.
This does not transfer ownership of unrelated User Content.
28. Acceptable Use
You must not use Venari to:
- violate law;
- commit or facilitate fraud;
- knowingly buy/sell stolen goods;
- knowingly deal in counterfeit or prohibited goods;
- misrepresent product identity or condition;
- harass another person;
- infringe intellectual property rights;
- distribute malware;
- gain unauthorized access;
- interfere with service operation;
- access another customer's account;
- circumvent quotas/provider controls;
- systematically extract Venari data without authorization;
- reverse engineer except where applicable law prohibits restriction;
- automate third-party marketplace activity in violation of applicable rules;
- use credentials/sessions you do not own;
- bypass security/access controls;
- abuse trials, referrals, promotions, or refunds; or
- resell access without permission.
29. Prohibited Marketplace Automation
Venari's authenticated Facebook workflow is user-controlled.
You may not use Venari to facilitate credential theft, unauthorized session use, CAPTCHA bypass, stealth/evasion, identity/account farms, proxy rotation intended to bypass restrictions, unsupported automated seller messaging, unauthorized purchasing, or defeat of marketplace access controls.
30. Intellectual Property
Venari software, branding, documentation, proprietary workflows, databases, and service materials are owned by or licensed to The Viral Marketer, LLC.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Venari for permitted use during your authorized access period.
You may not resell/sublicense the service, systematically reproduce it, remove proprietary notices, or use Venari intellectual property beyond granted rights.
The Venari product name may change.
31. Third-Party Services
Venari may rely on providers for hosting, payments, email, AI, source/marketplace data, analytics, and advertising.
Our use of those providers is described further in our Privacy Policy and Subprocessors & Third-Party Services page.
32. Beta and Product Changes
Some functionality may be described as beta, experimental, early-access, or evolving.
We may add, modify, or remove features; change supported providers/sources; change usage limits; or discontinue experimental functionality.
We will not use beta status to eliminate mandatory consumer rights.
33. Availability
No general contractual uptime SLA applies unless a separate written agreement states otherwise.
Availability can be affected by maintenance, updates, cloud infrastructure, marketplaces, source providers, AI providers, email/payment providers, network failures, legal restrictions, or events outside reasonable control.
34. Suspension and Termination
We may suspend or terminate access where reasonably necessary because of material Terms violation, fraud, abuse, unlawful activity, payment failure, attempts to circumvent limits, security risk, legal requirement, or conduct creating material risk.
Where practical, we may provide notice or opportunity to correct an issue.
Termination by us for convenience
If we terminate an active paid subscription for our convenience and not because of your breach, non-payment, fraud, abuse, security risk, or legal requirement, we will refund the unused prorated portion of the current prepaid subscription period where reasonably applicable and legally permitted.
35. Effect of Subscription End
When your subscription ends, paid functionality may cease or revert to any available unpaid state.
Subscription cancellation does not automatically delete your account.
You may submit a separate deletion request under our Privacy Policy.
36. Privacy
Our Privacy Policy describes our processing of personal information.
Nothing in these Terms eliminates rights provided by mandatory privacy law.
37. Electronic Communications
You agree that legally permitted notices may be delivered electronically through email, your Venari account, the application, or another authorized method.
You are responsible for maintaining an email address capable of receiving account notices.
Marketing communications are subject to separate marketing choices.
38. Disclaimer of Warranties
Subject to rights that applicable law does not permit us to exclude:
Venari is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we do not warrant that service will always be uninterrupted, every listing will be detected, every product correctly identified, all evidence complete, every valuation will match a future transaction, every recommendation will produce profit, every source will remain available, or every AI-generated output will be accurate.
Nothing here excludes mandatory statutory warranties, guarantees, or remedies.
39. Limitation of Liability
To the maximum extent permitted by applicable law, The Viral Marketer, LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost business opportunity, lost goodwill, or losses arising from a resale transaction where such exclusion is legally permitted.
To the maximum extent legally permitted, our aggregate liability arising from Venari or these Terms will not exceed the greater of:
- amounts you paid to Venari during the 12 months immediately preceding the event giving rise to the claim; or
- USD $100.
This limitation does not apply where applicable law prohibits limitation.
Mandatory consumer rights remain unaffected.
40. Indemnification
To the extent permitted by applicable law, you are responsible for claims, damages, liabilities, costs, or expenses arising from unlawful use, material violation of these Terms, fraud/intentional misconduct, content submitted without necessary rights, or violation of another person's rights.
You are not required to indemnify us for liabilities that applicable law does not permit us to shift to you.
41. Governing Law and Disputes
For U.S. customers, these Terms are intended to be governed by Texas law and applicable U.S. federal law, except where mandatory law requires otherwise.
Where legally permitted, disputes involving a U.S. customer may be brought in the state or federal courts serving Harris County, Texas.
For Canadian consumers, applicable mandatory federal and provincial consumer rights and access to courts or tribunals available under those laws are not displaced by this section.
No mandatory arbitration provision or class-action waiver is included in this V1 draft.
Nothing prevents a consumer from using a regulator, privacy authority, consumer-protection body, small-claims mechanism, or another forum where applicable law provides that right.
42. Changes to These Terms
We may update these Terms.
Material changes affecting an existing paid customer's rights/obligations will receive additional notice where reasonably appropriate or legally required.
Where renewed affirmative agreement is required, we will request it.
Price changes follow the 30-day notice rule described above.
Prior versions are retained in our policy history.
43. Assignment
You may not transfer your account or these Terms without permission.
We may assign these Terms in connection with merger, acquisition, reorganization, financing, business sale, or transfer of substantially all relevant assets, subject to applicable law.
44. Severability
If part of these Terms is unenforceable, the remainder continues to the extent permitted by law.
45. No Waiver
Failure to enforce a provision immediately does not waive future enforcement.
46. Entire Agreement
These Terms, our Privacy Policy, applicable plan disclosures, and terms expressly incorporated into your transaction form the agreement governing Venari.
A separate signed agreement may supersede these Terms for the subject matter it covers.
